User Agreement for Impact Strategy LLC

Effective Date: January 27, 2025

This User Agreement (“Agreement”) governs your use of the services, products, and website (“Services”) provided by Impact Strategy LLC, a limited liability company organized under the laws of the State of Kentucky. By accessing, using, or purchasing any services or products from Impact Strategy LLC, you agree to comply with and be bound by this Agreement.

If you do not agree to these terms, please refrain from using our Services.

1. Overview of Services

Impact Strategy LLC offers a range of services to businesses and individuals, including but not limited to:

  • Business consulting
  • Digital marketing strategy
  • Website design and development
  • Branding and graphic design
  • Subscription-based services, such as hosting and website maintenance
  • Marketing campaign management
  • Custom solutions for business growth

These Services are provided in accordance with the terms set forth in this Agreement, any additional agreements, or individual contracts.

2. Acceptance of Terms

By using our Services, you agree to be bound by this Agreement. This includes agreeing to any updates or modifications we may make to this Agreement in the future. If you continue to use our Services after changes to the Agreement, you acknowledge and accept those changes.

You also confirm that you have read, understood, and agree to all applicable policies such as our Privacy Policy, Refund Policy, and Terms of Service, which are incorporated by reference into this Agreement.

3. User Responsibilities

As a user of our Services, you agree to:

  • Provide Accurate Information: You agree to provide accurate, current, and complete information as required for the use of our Services.
  • Use the Services Responsibly: You agree to use our Services only for lawful purposes. You must not use our Services in any manner that could damage, disable, or impair the Service or interfere with other users’ ability to enjoy the Services.
  • Cooperate with Impact Strategy LLC: You agree to cooperate with our team, including providing necessary feedback, materials, and communication, to ensure that the project is completed efficiently.
  • Keep Your Account Information Secure: If you are required to create an account with us, you agree to maintain the confidentiality of your account information, including your username and password. You are responsible for all activities under your account.

4. Payment Terms

  • Service Fees: The fees for our Services are outlined in the respective service agreement or proposal. We will inform you of the exact price for your project or service upfront.
  • Payment Methods: Payments are due based on the terms set out in the service agreement, typically 50% in advance and 50% upon completion, unless otherwise specified.
  • Late Payments: If you fail to pay on time, Impact Strategy LLC reserves the right to charge late fees or suspend the provision of services until payment is made.

5. Confidentiality and Privacy

We respect your privacy. Any personal or business information you provide will be treated in accordance with our Privacy Policy, which is part of this Agreement. We will never sell or disclose your personal data to third parties without your explicit consent, except as required by law or to provide the Services.

You also agree to maintain the confidentiality of any proprietary information we provide during the course of our work together. This includes, but is not limited to, business strategies, branding materials, and website assets.

6. Ownership Rights

  • Your Content: You retain ownership of all materials you provide to us for the project, such as text, images, logos, or any other intellectual property. You grant Impact Strategy LLC the right to use your materials for the duration of the project.
  • Our Content: Unless otherwise agreed, any designs, code, strategies, or other intellectual property created by Impact Strategy LLC during the course of your project remains the property of Impact Strategy LLC. Upon full payment, you will receive a non-exclusive license to use the deliverables for the intended purpose.

7. Termination and Suspension

Either party may terminate this Agreement with written notice. If you choose to terminate, you must pay for any Services already rendered up until the termination date. If Impact Strategy LLC terminates the Agreement due to your violation of the terms, you will remain liable for all fees incurred.

Impact Strategy LLC also reserves the right to suspend or terminate your access to our Services if we suspect you are engaging in unlawful or unethical behavior, including but not limited to:

  • Fraudulent activities
  • Intellectual property infringement
  • Violating the terms of this Agreement

Upon termination, all outstanding amounts for services rendered will be due immediately.

8. Limitation of Liability

To the fullest extent permitted by law, Impact Strategy LLC will not be held liable for any indirect, incidental, special, or consequential damages, including loss of profit, data, or business interruption, that arise from your use of our Services.

Our liability is limited to the amount paid for the Service or product in question.

9. Indemnity

You agree to indemnify and hold harmless Impact Strategy LLC, its employees, agents, and contractors from any claim, liability, loss, or damage (including legal fees) resulting from your use of the Services, any content you submit, or your violation of this Agreement.

10. Force Majeure

We will not be liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, wars, strikes, government regulations, or technical failures.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Kentucky. Any disputes will be resolved through binding arbitration, or, if necessary, through the courts in Richmond, Kentucky.

You agree to make reasonable efforts to resolve disputes amicably before resorting to arbitration or litigation.

12. Modifications to the Agreement

Impact Strategy LLC reserves the right to modify or update this Agreement at any time. Any changes will be posted on our website and become effective immediately upon publication. Your continued use of our Services after such updates signifies your acceptance of the new terms.

13. Severability

If any provision of this Agreement is found to be unlawful, invalid, or unenforceable by a court, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

This Agreement, together with any associated agreements, constitutes the complete and exclusive understanding between you and Impact Strategy LLC with respect to the subject matter hereof.
