Terms of Service for Impact Strategy LLC

These Terms of Service (“Agreement”) govern the use of services provided by Impact Strategy LLC (“we,” “us,” “our”). By accessing or using our services, you (“Client,” “you,” “your”) agree to comply with and be bound by the following terms and conditions.

If you do not agree with these Terms of Service, please refrain from using our services.

1. Services Provided

Impact Strategy LLC offers a variety of services including but not limited to:

  • Business Consulting
  • Digital Marketing and Strategy
  • Web Design and Development
  • Branding and Graphic Design
  • Subscription-based services (e.g., hosting, maintenance)
  • Strategy development and implementation

These services are provided under the terms of this Agreement and any additional agreements or project scopes that may be agreed upon in writing.

2. Use of Services

You agree to use the services provided by Impact Strategy LLC for lawful purposes and in a manner consistent with these Terms. You are solely responsible for any content you submit to our services, and you agree not to use our services to:

  • Violate any laws or regulations.
  • Infringe upon the intellectual property rights of others.
  • Engage in harmful or unlawful activity that could damage our infrastructure or services.
  • Distribute viruses, malware, or any other harmful software.

You also agree to provide accurate, up-to-date, and truthful information when engaging with our services. Impact Strategy LLC reserves the right to suspend or terminate your access to services if any of the above actions are suspected or detected.

3. Client Responsibilities

As a Client of Impact Strategy LLC, you agree to:

  • Provide Clear Instructions: You are responsible for providing clear and accurate instructions for all projects. Our team will work according to the scope defined and agreed upon in the project proposal or service agreement.
  • Cooperate and Communicate: You must respond to our communications in a timely manner to ensure that projects proceed smoothly and on schedule.
  • Maintain Ownership of Provided Materials: You are responsible for ensuring that any content, including text, graphics, logos, or other materials, is owned by you or you have the necessary rights and licenses to use them in the project.

4. Payment and Fees

Impact Strategy LLC will provide a quote for services based on the scope of the project. All fees for services are agreed upon in advance and outlined in the project proposal or service agreement.

  • Payment Terms: Payments are due according to the terms specified in the agreement, typically 50% upfront and the remaining balance upon completion.
  • Late Payments: Payments not received by the agreed-upon due date may be subject to late fees or penalties, as outlined in the service agreement.
  • Refunds: Refunds are available in specific cases as outlined in our Refund Policy, which is incorporated by reference into these Terms of Service.

5. Confidentiality

We value your privacy and confidentiality. Any confidential information shared with Impact Strategy LLC during the course of the service will be kept private. We will not disclose your confidential information to third parties without your prior consent, unless required by law.

You also agree to maintain the confidentiality of any proprietary information provided by Impact Strategy LLC during the term of our engagement.

6. Intellectual Property

Impact Strategy LLC retains ownership of all proprietary content created during the course of the project, including but not limited to designs, code, marketing strategies, and other materials produced. However, once full payment for the project has been received, the client will receive a non-exclusive license to use the materials for the purposes specified in the project agreement.

  • Ownership of Client Materials: You retain ownership of all materials that you provide to us for the project, including text, graphics, logos, and other intellectual property.
  • License Grant: We grant you a non-exclusive, non-transferable license to use the final deliverables solely for your intended purpose as specified in the agreement.

7. Termination of Services

Either party may terminate this Agreement by providing written notice. Impact Strategy LLC may suspend or terminate the provision of services immediately if we suspect that you are in violation of these Terms of Service or have engaged in unlawful activity.

Upon termination, you agree to pay for any services rendered up to the termination date. Any outstanding balances will be due immediately.

8. Limitation of Liability

To the fullest extent permitted by law, Impact Strategy LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to lost profits, data loss, or business interruptions.

In no event shall Impact Strategy LLC‘s liability exceed the amount paid by you for the specific service or product that gave rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Impact Strategy LLC and its employees, contractors, and agents from any claim, loss, liability, damages, or expenses (including legal fees) arising out of or in connection with your use of our services, your violation of these Terms of Service, or your infringement of any third-party rights.

10. Force Majeure

Impact Strategy LLC shall not be liable for any delays or failure in performance resulting from events outside our reasonable control, including but not limited to natural disasters, pandemics, government actions, or technical failures.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Kentucky without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved in the competent courts located in Richmond, Kentucky.

12. Modifications to the Terms

We reserve the right to modify, amend, or update these Terms of Service at any time. Any changes will be posted on our website and will be effective immediately upon publication. By continuing to use our services after the changes are made, you agree to be bound by the revised Terms of Service.

13. Dispute Resolution

In the event of a dispute, we encourage you to contact us at contact@impactstrategysolutions.com to resolve the issue amicably. If an amicable resolution cannot be reached, the dispute will be resolved through binding arbitration or in court as outlined in the governing law section.

14. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms of Service, together with any related agreements or documents, constitute the entire agreement between you and Impact Strategy LLC. Any previous agreements, whether written or oral, are superseded by this Agreement.
